5-Day Notification Requirements for Material Changes to PM/DTC Registration

Material changes to your companies PM/DTC State Department registration require notification to DDTC within 5 days of the effective date.

A material change is a change in information contained in the DS-2032 Statement of Registration (“DS-2032”). Examples of material changes include, but are not limited to:

  • Ineligibility changes
  • Changes to name, address, or senior officers (e.g., Members of the Board of Directors, Senior Officers, Partners, and Owners);
  • The establishment, acquisition or divestment of a U.S. or foreign parent, subsidiary, or affiliate; or a merger.

All other non-material changes (also known as Administrative Changes) may be reported to DDTC with a Material Change or in the Statement of Registration as part of annual registration renewal. All material change notifications must be reported to DDTC by the registrant within 5 days after the effective date.
